Terms of Service

Last updated: September 30, 2026

These Terms of Service ("Terms") are a binding agreement between you ("Client," "you," or "your") and Good Name Brands LLC d/b/a Good Name Brands ("Good Name Brands," "we," "us," or "our"). They govern your use of goodnamebrands.com and every service we provide. By using our website, checking a box agreeing to these Terms, signing a proposal, or paying an invoice, you agree to these Terms. If you are accepting on behalf of a business, you confirm you have authority to bind that business.

1. Services and Scope

We provide digital marketing services to trade and construction businesses, which may include Google Business Profile setup and optimization, AI search visibility reporting, CRM and automation setup, lead capture, review request systems, text and email follow-up, content, and related services (the "Services").

The specific deliverables, price, and timeline for your engagement are set out in your proposal, order form, or invoice (the "Order"). Only what is written in the Order is included. If an Order conflicts with these Terms, the Order controls for that engagement only.

2. Changes to Scope

Work outside the Order requires a written change order approved by both parties before the work begins. Change orders may adjust price and timeline. We are not obligated to perform out-of-scope work, and requests made by phone, text, or in conversation are not approved changes until confirmed in writing.

3. Payment

  • Payment is due upfront unless the Order states a deposit. No work begins until payment or the deposit is received.
  • Setup and project fees are due in full before delivery of final deliverables.
  • Monthly fees are billed in advance and charged automatically to your payment method on file.
  • Late balances accrue interest at 1.5% per month or the maximum rate allowed by law, whichever is lower.
  • We may pause or suspend all Services, including automations, tools, and account access we manage, if any payment is more than 5 days late. Paused work resumes only after your account is current. Delays caused by nonpayment extend all timelines.
  • You agree to pay all reasonable costs of collection, including attorney's fees.
  • Chargebacks: you agree to contact us first to resolve any billing concern. Filing a payment dispute for Services that were delivered or begun is a breach of these Terms, and you remain responsible for the full amount plus any fees we incur.

4. Refunds

Because our Services involve immediate labor and time reserved for your project, all fees are non-refundable once work has begun. Work begins when we access your accounts, begin research, or start building deliverables. If we cancel an engagement before any work begins, we will refund payments received, less payment processing fees. Third-party costs purchased on your behalf, such as software, media, or subcontracted work, are non-refundable.

5. Monthly Services and Cancellation

Monthly Services have a minimum initial term of 3 months. After that, they renew automatically month to month until cancelled. Either party may cancel with 30 days' written notice by email. Fees for the notice period remain due. We do not prorate partial months or refund prepaid months.

6. Client Responsibilities

You agree to:

  • Provide timely access to accounts, logins, information, photos, and approvals we request
  • Provide accurate, truthful information about your business, including licenses, insurance, certifications, service areas, and warranties
  • Review and respond to requests for approval within 5 business days; drafts not responded to within that time are considered approved
  • Maintain ownership of and control over your own domains, business listings, and platform accounts
  • Comply with all laws that apply to your business and your marketing

Timelines depend on your cooperation. Delays caused by you, or by missing access or information, extend delivery dates and do not entitle you to a refund.

7. No Guarantees of Results

We work to improve your visibility, reputation, and lead handling, but we do not guarantee any specific result, including search rankings, map pack placement, appearance in AI tools such as ChatGPT, Claude, Perplexity, or Google AI Overviews, number of reviews, calls, leads, sales, or revenue. Search engines, AI platforms, and review sites control their own results and change them without notice. Reports and screenshots reflect conditions at the time they were captured and may differ by user, device, location, and time.

8. Text Messaging, Email, and Contact Compliance

Where we set up text-back, follow-up sequences, review requests, or other messaging for you, you are the sender and are solely responsible for having proper consent from every contact and for complying with the Telephone Consumer Protection Act (TCPA), CAN-SPAM, carrier and A2P 10DLC requirements, and all other messaging laws. You will not upload purchased, rented, or scraped contact lists. We may pause or refuse any messaging we believe is non-compliant. You are responsible for any fines, claims, or carrier penalties arising from your messaging.

9. Reviews

We help you request reviews from real customers. We do not write, buy, or post fake reviews, and we do not suppress or filter negative reviews. You agree not to ask us to. You are responsible for the content of any response posted on your behalf that you approve, and for complying with FTC rules on reviews and endorsements.

10. Third-Party Platforms and Subcontractors

Our Services rely on third-party platforms, including Google, CRM and automation software, payment processors, and AI tools. We are not responsible for their outages, policy changes, pricing changes, data loss, or account suspensions, including suspension of a Google Business Profile. We may use qualified subcontractors to perform parts of the Services. We remain responsible for managing their work under your Order.

11. Ownership and Intellectual Property

What you own. You own your business name, logos, photos, content you provide, your domains, your Google Business Profile, and your customer data.

What we own. We own our processes, methods, templates, automations, workflows, snapshots, sequences, prompts, report formats, and know-how, whether created before or during our work with you ("GNB Materials"). Using GNB Materials in your account gives you a limited, non-transferable license to use them while your account is active and paid. You may not copy, resell, or share GNB Materials.

Deliverables. Custom content made specifically for you transfers to you upon full payment. Until paid in full, all deliverables remain our property.

On termination. You may request an export of your contacts and customer data within 30 days of termination. Automations, workflows, and tools we built with GNB Materials may be disabled or removed when Services end.

12. Portfolio and Marketing

You grant us permission to use your business name, logo, and results, including screenshots, before-and-after comparisons, and general outcomes, in our marketing and portfolio. We will not share your customers' personal information. You may opt out at any time by written notice; this applies going forward only.

13. Confidentiality

Each party will keep the other's non-public business information confidential and use it only to perform under these Terms. This does not apply to information that is public, independently developed, or required to be disclosed by law.

14. Non-Solicitation

During our engagement and for 12 months afterward, you agree not to directly hire or contract with any subcontractor or team member we introduced to you for similar services without our written consent. If you do, you agree to pay us a placement fee equal to the fees you paid us in the previous 6 months.

15. Disclaimer of Warranties

EXCEPT AS EXPRESSLY STATED IN YOUR ORDER, THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT ALLOWED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

16. Limitation of Liability

TO THE FULLEST EXTENT ALLOWED BY LAW, GOOD NAME BRANDS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST LEADS, LOST DATA, OR DAMAGE TO REPUTATION, EVEN IF ADVISED OF THEIR POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICES OR THESE TERMS WILL NOT EXCEED THE FEES YOU PAID US IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

17. Indemnification

You agree to defend, indemnify, and hold harmless Good Name Brands, its owners, contractors, and subcontractors from any claims, damages, fines, losses, and costs, including attorney's fees, arising from: (a) information or content you provide; (b) your messaging, marketing, or contact practices; (c) your products, services, workmanship, or customer relationships; (d) your breach of these Terms; or (e) your violation of any law or third-party right.

18. Termination by Us

We may suspend or end Services immediately if you fail to pay, breach these Terms, ask us to do anything unlawful or deceptive, or are abusive toward us or our team. Fees for work performed and any remaining minimum term remain due.

19. Disputes, Governing Law, and Venue

These Terms are governed by the laws of the State of Texas. Before filing any claim, both parties agree to try in good faith to resolve the dispute by written notice and discussion for at least 30 days. Any lawsuit must be brought exclusively in the state or federal courts located in Lubbock County, Texas, and both parties consent to that jurisdiction. Either party may bring a qualifying claim in small claims court. The prevailing party in any dispute is entitled to recover reasonable attorney's fees and costs. Claims must be brought individually, not as part of any class or representative action.

TO THE FULLEST EXTENT ALLOWED BY LAW, EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES ANY RIGHT TO A TRIAL BY JURY.

20. Website Use

You agree not to misuse our website, including by attempting unauthorized access, interfering with its operation, scraping content, or submitting false or harmful information. All website content, text, design, and branding are owned by Good Name Brands and may not be copied without permission.

21. General Terms

  • Independent contractor. We are an independent contractor, not your employee, partner, or agent.
  • Force majeure. Neither party is liable for delays caused by events beyond reasonable control, including platform outages, internet failures, natural disasters, or illness.
  • Entire agreement. These Terms and your Order are the entire agreement and replace all prior discussions.
  • Severability. If any part is found unenforceable, the rest stays in effect.
  • No waiver. Our failure to enforce any term is not a waiver of it.
  • Assignment. You may not assign these Terms without our consent. We may assign them in connection with a sale or reorganization of our business.
  • Electronic acceptance. Checkbox acceptance, e-signatures, and email approvals are binding.
  • Changes. We may update these Terms by posting a new version here. Changes apply to new Orders and to renewals after the updated Effective Date.
